These Terms of Use (“Terms”) govern your access to and use of the xreach51 platform, website and related services (the “Service”), operated by SMART CLIENT IT INNOVATIONS, a company incorporated in India with its registered office in Gachibowli, Hyderabad, Telangana (“xreach51”, “we”, “us”).
By creating an account, accessing or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Service.
1. The Service
xreach51 is a business-to-business omnichannel messaging platform that lets you run campaigns and conversations across WhatsApp, Telegram, SMS and voice, manage contacts and templates, build automated flows, and review analytics.
The Service is provided for business use only. It is not offered to consumers for personal, family or household purposes.
2. Accounts and eligibility
- You must be at least 18 years old and capable of forming a binding contract.
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account, including activity by your agents and team members.
- Notify us promptly at support@xreach51.com if you suspect unauthorised access.
3. Your content and data
You retain all rights in the contacts, message content, templates, recordings and other material you submit to or generate through the Service (“Customer Data”). You grant us a limited, worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and support the Service.
You are responsible for Customer Data and for the legal basis on which you collect and use it. You represent and warrant that:
- You have obtained all necessary consents and opt-ins from your recipients before messaging or calling them, as required by applicable law and by the policies of the relevant channel.
- You provide recipients with a clear and functioning way to opt out, and you honour opt-outs promptly.
- You have the right to upload and process the Customer Data, and doing so does not infringe any third party’s rights.
Where we process personal data on your behalf, we act as a processor and you act as the controller. Our processing is described in our Privacy Policy.
4. Acceptable use
You must not use the Service to:
- Send unsolicited messages or calls, spam, or bulk communications to recipients who have not opted in.
- Send content that is unlawful, fraudulent, deceptive, defamatory, obscene, harassing, or that promotes violence or discrimination.
- Impersonate any person or entity, or misrepresent the sender of a message.
- Distribute malware, phishing links, or attempt to gain unauthorised access to any system.
- Circumvent messaging limits, rate limits, opt-out mechanisms, or channel-provider review processes.
- Infringe intellectual property or privacy rights.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, or resell or sublicense the Service except as expressly permitted.
- Use the Service in a way that violates applicable law, including telecom and anti-spam regulations, or the TRAI regulations applicable in India.
Channel-provider policies. Your use of WhatsApp, Telegram, SMS and voice channels through xreach51 is additionally subject to the rules of those providers, including the WhatsApp Business Messaging Policy and the WhatsApp Business Terms of Service. Those policies form part of your obligations under these Terms. Violations can result in your number, template or account being suspended or banned by the channel provider — an outcome that is outside our control.
We may suspend or terminate access immediately, without refund, if we reasonably believe you have breached this section, or if a channel provider or authority requires it.
5. Credits, fees and billing
- The Service is sold on a credit-based model. Messages, calls and other billable events consume credits at the rates published in the Service at the time of use.
- Fees are quoted exclusive of taxes. You are responsible for all applicable taxes, including GST, other than taxes on our income.
- Charges pass through the costs levied by channel providers and carriers, which may change if those providers change their pricing. We will give notice of material rate changes.
- Credits are non-transferable. Unless required by law or expressly stated at purchase, purchased credits are non-refundable, including on termination.
- Failure to pay may result in suspension of the Service.
6. Availability and support
We aim to keep the Service available and performant, but we do not guarantee uninterrupted availability. The Service may be unavailable during maintenance, or because of failures in third-party channel providers, carriers or infrastructure. Any service level commitments apply only if set out in a separate written agreement signed by us.
7. Intellectual property
The Service, including all software, interfaces, documentation, and the xreach51 name and logo, is owned by us and our licensors and is protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more. We may use feedback you give us without restriction or obligation.
8. Third-party services
The Service integrates with third-party platforms and carriers. We are not responsible for those services, their availability, their pricing, or their decisions — including a decision to suspend or ban your account or template. WhatsApp is a trademark of Meta Platforms, Inc. and Telegram is a trademark of Telegram FZ-LLC; xreach51 is not affiliated with, endorsed by, or sponsored by either.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be error-free, that messages or calls will be delivered, or that AI-generated output (including transcripts and automated voice responses) will be accurate.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business or data, however caused.
Our aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnity
You will indemnify and hold us harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from your Customer Data, your use of the Service, your breach of these Terms, or your violation of applicable law or of a channel provider’s policies — including claims by your recipients relating to consent, opt-out, or the content of your messages.
12. Term and termination
These Terms apply from the moment you first use the Service until terminated. You may stop using the Service and close your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or if required by law or by a channel provider.
On termination, your right to use the Service ceases immediately. You may export your Customer Data before termination takes effect; after that, we may delete it in line with our Privacy Policy. Sections that by their nature should survive — including sections 3, 7, 9, 10, 11 and 13 — survive termination.
13. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict of law rules. The courts at Hyderabad, Telangana, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and you consent to that jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Where a change is material, we will give notice by email or in-product notice before it takes effect. Continuing to use the Service after the effective date of a change means you accept the revised Terms.
15. General
- Entire agreement. These Terms, together with the Privacy Policy and any order form or written agreement signed by us, are the entire agreement between you and us.
- Severability. If any provision is held unenforceable, the rest remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
